These Terms and Conditions govern the utilization of our professional freight dispatch services, broker configuration support, and operational administrative solutions. By onboarding with us or using this platform, you agree to comply legally with the stipulations described below.

1. Scope of Dispatch Services

ProTech Solution LLC serves strictly as an independent administrative consultant and load-matching service provider for authorized motor carriers. We negotiate with third-party brokers/shippers to secure loads on your behalf, complete broker packets, and manage trip itineraries. ProTech Solution LLC is not a licensed freight broker or property forwarder; our company assumes no responsibility or structural liability for freight processing arrays, missing cargo, or damaged freight claims.

2. Carrier Obligations & Authorization

By engaging ProTech Solution LLC, you grant our dispatch team full power of attorney to execute broker profiles, sign rate confirmations, and negotiate cargo routes under your operating authority (MC/DOT numbers). The carrier guarantees that:

• Your FMCSA operating authority is active, clean, and in good structural standing throughout the service agreement.
• Your asset insurance policy meets required public and freight cargo protection coverages.
• Your drivers maintain complete regulatory compliance concerning hours of service (HOS) and road safety standards.

3. Billing, Commissions, & Late Payments

Fees for our truck dispatch services are billed on either a fixed weekly retainer or a performance-based commission tier calculated from gross load revenue. All invoices issued by ProTech Solution LLC must be settled within the timeframe stated in your service contract. Overdue balances may lead to immediate suspension of load-booking operations, collection processing actions, and applicable late penalties.

4. Limitation of Operational Liability

ProTech Solution LLC is not liable for structural revenue losses, missed appointments, equipment mechanical breakdowns, driver availability shifts, or weather-induced delays. While we look for optimal market rates per mile, we cannot guarantee specific weekly revenue targets due to unpredictable changes in spot-market freight supply and demand.

5. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any legal actions or contractual disputes linked to ProTech Solution LLC must be filed and mediated in courts located in Houston, TX.
